1. About these terms
1.1 These terms are an agreement between you and [not set] (Pty) Ltd, registration number [not set], of [not set] ("EazyConstruct", "we", "us"). They apply whenever you use the EazyConstruct mobile app or website (the "App").
1.2 You accept these terms when you tick the acceptance box while creating your account. If you do not accept them, you may not use the App.
1.3 Clients must also accept the Client section of these terms, and Contractors must accept the Contractor section. On each job, the Client and the Contractor also enter into a separate Project Agreement with each other, and the Cancellation and Refund Policy applies to every job.
1.4 Important notice. Some clauses limit EazyConstruct's responsibility, place risks on you, or require you to indemnify EazyConstruct. They are printed in bold in clauses 4, 12, 17 and 18. Please read them carefully before you accept.
1.5 Beta period. The App is currently in a beta (testing) period. During the beta:
- features may be added, changed or removed, and the App may have errors or interruptions;
- EazyConstruct does not charge the Platform Fee. The Oversight Fee still applies to Company-managed Projects;
- EazyConstruct will announce the end of the beta, and any new pricing (including any subscription), in the App and by email at least 30 days before it takes effect. A pricing change never applies to a Quote signed before it took effect.
Everything else in these terms, including the rules on payments, cancellations, refunds and disputes, applies in full during the beta.
2. Definitions
In these terms:
- Client means a person who uses the App to find a Contractor and have work done.
- Contractor means a builder or specialist trade (for example an electrician, plumber, tiler or painter) who uses the App to find and carry out work. A Contractor is an independent business, not an employee or agent of EazyConstruct.
- Job means a request for work posted by a Client, or an invitation a Client sends to a Contractor.
- Project means a Job that has a Signed Quote.
- Quote means the itemised price a Contractor sends for a Job in the App, showing line items, the materials total, the labour cost and the payment schedule.
- Signed Quote means a Quote that the Contractor has sent and the Client has signed in the App.
- Change Order means a request, raised in the App, to add anything to a Project that is not in the Signed Quote, with its price.
- Work Plan means the list of stages the Contractor publishes for a Project.
- Deposit and Final Payment mean the two payments in the payment schedule of a Signed Quote.
- Self-managed means a Project where the Client arranges the materials, and the Contractor's Quote covers materials and labour.
- Company-managed means a Project where EazyConstruct supplies the materials from its supplier catalogue and bills them separately from labour.
- Platform Fee means the fee EazyConstruct charges Contractors, described in clause 14.
- Oversight Fee means the fee EazyConstruct charges Clients on Company-managed Projects, described in clause 14.
- Business Day means any day other than a Saturday, Sunday or South African public holiday.
3. What EazyConstruct does
3.1 EazyConstruct runs a platform that helps Clients and Contractors find each other and keep a written record of their Project. Through the App, EazyConstruct:
- lets Clients post Jobs and find Contractors, and lets Contractors find and request Jobs;
- lets both sides message each other, send and sign Quotes, and approve or decline Change Orders;
- records the Signed Quote, the Work Plan, progress photos, Change Orders and payments, with dates and times;
- receives payments from Clients by EFT and pays Contractors out, as described in clauses 13 to 16;
- on Company-managed Projects, sells and arranges delivery of the materials, and carries out a completion inspection, as described in clauses 11 and 12.
3.2 EazyConstruct keeps a record of each signed document. Each record carries a timestamp and a tamper-evident code, so that any later change to it can be detected.
4. What EazyConstruct does not do
4.1 EazyConstruct is not a party to the building work. The contract for the work is the Project Agreement between the Client and the Contractor. EazyConstruct does not carry out, supervise or manage the work.
4.2 Unless these terms say otherwise, EazyConstruct is not responsible for the quality, safety, timing or legal compliance of any work a Contractor does, or for any act or omission of a Client or Contractor.
4.3 EazyConstruct checks some information that Contractors give it, such as identity and trade details. These checks are limited. They are not a guarantee of a Contractor's skill, qualifications, honesty or ability to complete a Project. Clients should satisfy themselves that a Contractor is suitable before signing a Quote.
4.4 Ratings and reviews are the opinions of the users who wrote them. They are not statements by EazyConstruct.
5. Your account
5.1 You must be at least 18 years old and able to enter into a binding contract to create an account. If you act for a business, you confirm that you have authority to bind it.
5.2 You must give accurate information, verify your email address, and keep your details up to date.
5.3 Your account is personal. Keep your password and devices secure, and do not let anyone else use your account. Anything done through your account is treated as done by you, unless you tell us promptly that your account was used without your permission.
5.4 You may close your account from the App or by emailing support@eazyconstruct.com. You cannot close it while you have a Project in progress, or while a cancellation or dispute on one of your Projects is still open. Finish or cancel those Projects first. Clause 23 explains what happens to your information.
6. Contractor section
This clause applies if you use the App as a Contractor.
6.1 Verification. Before you can quote, EazyConstruct may ask for proof of identity, your trade, your business registration and any licence or registration your trade requires. You confirm that everything you submit is true and current.
6.2 Legal compliance. You are responsible for doing all work lawfully and safely. This includes, where the work requires it:
- being registered with the right body, such as the Department of Employment and Labour for electrical contractors, the Plumbing Industry Registration Board (PIRB) for plumbers, SAQCC Gas for gas work, or the National Home Builders Registration Council (NHBRC) for new homes;
- issuing the Certificate of Compliance (CoC) the law requires, and uploading it to the Project in the App;
- complying with the Occupational Health and Safety Act and the National Building Regulations;
- registering and paying any tax, VAT, UIF or COIDA contributions that apply to your business and your workers.
6.3 Insurance. You must hold public liability insurance suitable for the size and type of work you take on, and give EazyConstruct proof of it on request.
6.4 Your workers and suppliers. You may use your own employees, helpers and subcontractors, but you remain fully responsible to the Client for their work and conduct. You must pay your workers and suppliers on time.
6.5 Quotes. Each Quote must honestly describe the work, the materials and the price, with labour shown separately. When you send a Quote, you accept the Project Agreement terms for that Job. You may withdraw a Quote in the App until the Client signs it. Once the Client signs it, it binds you.
6.6 Bank details. You must give EazyConstruct the details of a South African bank account in your own name or your business's name. EazyConstruct pays out only to that account.
6.7 Independence. You are an independent contractor. Nothing in these terms makes you an employee, agent or partner of EazyConstruct.
7. Client section
This clause applies if you use the App as a Client.
7.1 Posting Jobs. Describe the work, the site and your budget honestly and in enough detail for a Contractor to price it.
7.2 Your property. You confirm that you own the property where the work will be done, or that you have the owner's permission to have the work done.
7.3 Approvals. Unless your Signed Quote says otherwise, you are responsible for any municipal building plan approval, body corporate or homeowners' association consent, and heritage approval that the work needs.
7.4 Materials option. When you post a Job, you choose Self-managed or Company-managed materials. The choice applies to the whole Project and cannot be changed after the Job is posted.
7.5 Paying and approving. You must pay each amount due by EFT, using the payment reference shown in the App, and review and approve completed work within the times set in the Project Agreement.
8. Acceptable use and working off the platform
8.1 You must not use the App to:
- give false information, impersonate anyone, or create more than one account without our permission;
- harass, threaten or discriminate against anyone;
- post fake Jobs, Quotes, photos, reviews or payment confirmations;
- upload anything unlawful, or anything that infringes someone else's rights;
- interfere with the App, its security, or other users' accounts.
8.2 Working off the platform. If a Client and a Contractor first meet through the App, they agree not to arrange or pay for that Job, or any other job they discuss through the App within 12 months, outside the App to avoid EazyConstruct's fees. EazyConstruct may suspend accounts that do this.
8.3 Keep messages about a Project in the App. EazyConstruct can only help resolve a dispute using what is recorded in the App.
9. Finding and hiring
9.1 A Client may post a Job for Contractors to request, or invite a specific Contractor directly. Contractors may request open Jobs. The App shows the trade each Job needs, and a Contractor should only request Jobs they are qualified and, where the law requires it, registered to do.
9.2 The Client chooses one Contractor. When they do, the App tells the other Contractors who requested the Job that it has been filled.
9.3 Posting a Job or requesting one creates no obligation. The Client and the Contractor are only bound once the Client signs a Quote.
10. Quotes, the Work Plan and Change Orders
10.1 Signing. A Contractor sends a Quote in the App. The Client accepts it by signing it in the App. The signature, its date and time, and the tamper-evident code of the Quote are recorded. Both parties agree that this electronic signature is valid and binds them, as the Electronic Communications and Transactions Act, 2002 allows.
10.2 The Signed Quote is locked. Once signed, the Quote cannot be edited. It becomes the baseline for the Project. Anything added later must go through a Change Order.
10.3 Work Plan. Before work starts, the Contractor publishes a Work Plan in the App. The Contractor marks each stage as done and uploads photos of the completed stage. The Client then reviews the stage and approves it in the App, or says what still needs to be done. A stage only counts as done once the Client has approved it.
10.4 Change Orders. If anything needs to be added that is not in the Signed Quote, the Contractor raises a Change Order in the App with a description and a price. The Client approves or declines it in the App. Nothing extra may be supplied or charged for unless the Client has approved a Change Order for it.
10.5 Paying for Change Orders. An approved Change Order is payable straight away, so that the extra items can be bought and the work can continue. On a Self-managed Project it is paid through EazyConstruct to the Contractor. On a Company-managed Project it is paid to EazyConstruct as a materials order.
11. Company-managed materials
This clause applies only to Company-managed Projects.
11.1 EazyConstruct is the seller. EazyConstruct sells the materials listed in the Signed Quote to the Client, at the catalogue prices shown in the Quote. The Oversight Fee is added to the materials, as shown before the Client chooses this option and on the Quote.
11.2 Payment first. EazyConstruct orders the materials once the Client has paid for them and the Oversight Fee in full.
11.3 Delivery. EazyConstruct arranges delivery to the site and records in the App when delivery is confirmed. The Contractor may not publish the Work Plan or mark stages as done until the original materials have been confirmed as delivered. Materials added through a Change Order do not hold up the work.
11.4 Ownership and risk. The materials belong to the Client once they have been paid for in full. The risk of loss, theft or damage passes to the Client when delivery is confirmed. The Client is responsible for keeping them secure on site.
11.5 Faulty or wrong materials. If materials are faulty, not as ordered, or short, tell EazyConstruct through the App within 5 Business Days of delivery. EazyConstruct will replace them, make up the shortfall or refund them. This does not limit your rights under the Consumer Protection Act, including your right to return defective goods within six months.
12. Inspections on Company-managed Projects
12.1 On a Company-managed Project, when the Client has approved the final stage, an EazyConstruct inspector checks the completed Project before it is marked complete.
12.2 The inspection checks that the work matches the Signed Quote, the approved Change Orders and the photos in the App. It is not a structural, engineering, electrical or plumbing inspection. It is not a guarantee of the quality of the work, and it does not replace any Certificate of Compliance or municipal inspection the law requires.
12.3 If the inspector finds that the work does not match the record, the inspector declines the sign-off and gives reasons in the App. The Contractor must then fix the work.
13. How payments work
13.1 Clients pay every amount due on a Project, including the Deposit, the Final Payment and approved Change Orders, by EFT into EazyConstruct's bank account shown in the App. Clients must use the payment reference the App gives for that payment.
13.2 A payment counts as made only once the money has reached EazyConstruct's account and EazyConstruct has matched it to its reference. A payment made without the correct reference may take longer to match.
13.3 The App shows each payment's status: awaiting payment, payment received, and paid out.
13.4 EazyConstruct holds money received for a Contractor in a separate bank account used only for Project payments until it is paid out.
13.5 Clients must not pay a Contractor directly for anything in a Signed Quote or an approved Change Order. EazyConstruct cannot record, protect or refund a payment made outside the App.
14. Fees
14.1 Clients do not pay to create an account, post Jobs or find Contractors.
14.2 Platform Fee. Contractors join for free. EazyConstruct charges Contractors a Platform Fee on each completed Project, calculated as a percentage of the labour cost in the Signed Quote. The rate that applies is the rate in force when the Quote is signed, and it does not change for that Project. The Platform Fee:
- is deducted only from the Final Payment when it is paid out;
- is never added to the price the Client pays;
- is not charged on the Deposit, on materials, or on Change Orders.
14.3 Oversight Fee. On a Company-managed Project, the Client pays an Oversight Fee for EazyConstruct sourcing, ordering and delivering the materials. It is a percentage of the materials total, with a minimum amount. The App shows it before the Client chooses Company-managed materials, and itemises it on the Quote. It is fixed when the Quote is signed and is paid together with the materials.
14.4 The current rates are published at eazyconstruct.com/fees and in the App. EazyConstruct may change its rates. A change never applies to a Quote that was signed before it took effect.
14.5 Fees include VAT where VAT applies.
15. Payouts to Contractors
15.1 The Deposit is held until work starts. EazyConstruct holds the Deposit and pays it out once the Contractor has recorded the Site Handover Report in the App, which shows that work has started.
15.2 Early release for materials. On a Self-managed Project, if materials must be bought before work starts, the Contractor may ask in the App for part of the Deposit to be used for them, up to the value of the materials, and must upload the supplier's quote or pro-forma invoice. The Client must approve the request in the App. EazyConstruct then pays the supplier directly, not the Contractor, once it has checked the documents. The materials must be delivered to the site or invoiced in the Client's name, and they belong to the Client.
15.3 Other payments. EazyConstruct pays out every other amount within 3 Business Days after it is received, or after the Client approves the work where that approval is required.
15.4 The Final Payment is paid out less the Platform Fee. The App shows the Contractor the amount, the fee and the net payout.
15.5 EazyConstruct does not pay out any amount while it is subject to a dispute under clause 20, a cancellation under the Cancellation and Refund Policy, or a suspected fraud investigation.
15.6 EazyConstruct is not responsible for delays caused by banks, or for a payout made to bank details the Contractor supplied incorrectly.
16. Refunds
16.1 If a Project is cancelled, refunds are worked out under the Cancellation and Refund Policy.
16.2 EazyConstruct pays refunds by EFT, within 10 Business Days after the refund is confirmed, to a South African bank account in the Client's name that the Client gives in the App with proof that it is theirs. EazyConstruct can only refund money it has received and not yet paid out. If money has already been paid out to a Contractor, the Contractor must repay it as the Policy requires.
17. What EazyConstruct is responsible for, and its limits
17.1 EazyConstruct is responsible for:
- dealing with money it receives in line with the Project record, and paying out or refunding it correctly;
- the materials it sells on Company-managed Projects, as set out in clause 11;
- carrying out inspections on Company-managed Projects with reasonable care, within the limited scope in clause 12.
17.2 Apart from clause 17.1, EazyConstruct is not liable for any loss or damage arising from the work, from the acts or omissions of any Client or Contractor, or from any person's reliance on a rating, review or profile.
17.3 EazyConstruct is not liable for indirect or consequential loss, including loss of profit, income, rental or use of a property.
17.4 EazyConstruct is not liable for failures or delays caused by events outside its reasonable control, including load-shedding, internet or banking outages, strikes, unrest, severe weather and acts of government.
17.5 EazyConstruct's total liability to you in connection with a Project is limited to the fees it earned on that Project (the Platform Fee and any Oversight Fee). This limit does not apply to money EazyConstruct received and did not pay out or refund as these terms require, or to EazyConstruct's obligations as the seller of materials.
17.6 Nothing in these terms limits EazyConstruct's liability for gross negligence, fraud or wilful misconduct, or excludes any right you have under the Consumer Protection Act or any other law that cannot lawfully be excluded.
18. Indemnity
18.1 You indemnify EazyConstruct against any claim, loss or cost that a third party brings against it because of your breach of these terms, your breach of a Project Agreement, or your unlawful conduct.
18.2 If you are a Contractor, this includes any claim arising from the work you or your workers carry out, including injury, property damage, and failure to hold a required registration, licence or Certificate of Compliance.
18.3 This clause does not require you to indemnify EazyConstruct for its own negligence or breach.
19. Ratings and reviews
19.1 After a Project is complete, the Client and the Contractor may rate and review each other. Reviews must be honest, based on the reviewer's own experience of that Project, and free of abuse and personal information.
19.2 You may not offer or accept anything in return for a review, or post a review of yourself or a competitor.
19.3 EazyConstruct may remove a review that breaks these rules. It does not otherwise edit reviews.
20. Disputes between a Client and a Contractor
20.1 Talk first. If something goes wrong, the Client and the Contractor should first try to resolve it through the App's messages.
20.2 Raising a dispute. Either party may raise a dispute in the App while a Project is in progress or during the guarantee period in the Project Agreement. EazyConstruct then holds back any amount on that Project that has not yet been paid out.
20.3 Evidence. Each party may submit their side, with any photos or documents, within 5 Business Days. EazyConstruct reviews the Project record and gives both parties a written recommendation within 10 Business Days after that. The recommendation may be any of the outcomes in clause 20.7.
20.4 What happens to held money. If both parties accept the recommendation, EazyConstruct carries it out, including paying out or refunding any held money in line with it. If either party does not accept it within 5 Business Days, EazyConstruct keeps holding the money until:
- the parties agree how it should be paid, including through a settlement under clause 20.7;
- a court, ombud or arbitrator decides; or
- 60 days pass without either party starting mediation or legal proceedings, in which case EazyConstruct pays it out or refunds it in line with its recommendation.
20.5 EazyConstruct does not act as an arbitrator. Apart from clause 20.4, its recommendation does not bind either party.
20.6 Either party may refer a dispute to mediation through a mediator both parties agree on. Clients who are consumers keep their right to approach the Consumer Goods and Services Ombud, the National Consumer Commission or the Small Claims Court at any time.
20.7 Settling it yourselves. At any time during a dispute, either party may propose a settlement in the App, and the other party may accept or decline it. A settlement, like a recommendation, can be one or more of:
- carrying on with the Project, with any fixes, extra time or other steps the parties agree, and the dates for them;
- changing the price of work not yet paid for;
- cancelling the Project, with the amounts to be paid and refunded;
- dividing the money EazyConstruct is holding between the parties.
Once both parties accept a settlement, the dispute ends, EazyConstruct carries it out, and it changes the Project Agreement as far as it says. EazyConstruct does not need to give a recommendation. If a settlement lowers the labour cost, the Platform Fee is worked out on the lower amount.
21. Complaints about EazyConstruct
21.1 Send any complaint about EazyConstruct to support@eazyconstruct.com. EazyConstruct will acknowledge it within 2 Business Days and respond in full within 10 Business Days.
21.2 If you are not satisfied with the response, you may refer the complaint to the Consumer Goods and Services Ombud. Privacy complaints may also go to the Information Regulator.
22. Your photos and content
22.1 You keep ownership of the photos, documents and messages you upload.
22.2 You allow EazyConstruct to store, display and process them to run the App, keep the Project record, resolve disputes and meet legal requirements. EazyConstruct will not use your photos in its marketing without your separate consent.
22.3 Only upload content you have the right to share. Do not upload photos that show people's faces, vehicle registrations or other personal details unless it is necessary for the Project.
23. Privacy
23.1 EazyConstruct processes personal information in line with the Protection of Personal Information Act, 2013 and its Privacy Policy at eazyconstruct.com/privacy.
23.2 A Client's name, the Job details and the suburb are visible to Contractors. A Client's exact address is only shared with the Contractor they hire. A Contractor's business name, trade, rating and approximate area are visible to Clients.
23.3 EazyConstruct keeps Project records, including Signed Quotes, Change Orders, photos and payment records, for 5 years after a Project ends, or longer if the law requires it, even if you close your account.
24. Suspension and termination
24.1 EazyConstruct may suspend or close an account, with notice where practical, if its holder breaches these terms, gives false information, puts other users at risk, is investigated for fraud, or repeatedly cancels Projects.
24.2 Suspension does not cancel Projects that are in progress. EazyConstruct will tell the other party and apply the Cancellation and Refund Policy where a Project cannot continue.
24.3 The clauses on fees, liability, indemnity, disputes and records survive the closing of an account.
25. Changes to these terms
25.1 EazyConstruct may update these terms. It will give at least 30 days' notice of a material change in the App and by email, with a short summary of what changed.
25.2 You must accept a material change before you can keep using the App. If you do not accept it, you may close your account. A change never affects a Signed Quote or Project Agreement already in place.
25.3 The App records which version of these terms you accepted, and when.
26. Notices and electronic communications
26.1 You agree that EazyConstruct may send notices to you through the App, by push notification or by email, and that these count as written notices.
26.2 Send notices to EazyConstruct at support@eazyconstruct.com. EazyConstruct chooses [not set] as its address for legal notices and service of legal documents (domicilium citandi et executandi).
27. General
27.1 These terms are governed by the laws of the Republic of South Africa.
27.2 You consent to the jurisdiction of the Magistrates' Court for any claim arising from these terms, even if the amount would otherwise fall outside its jurisdiction. This does not stop either party from using the Small Claims Court, an ombud or the National Consumer Commission.
27.3 These terms, the Cancellation and Refund Policy, the Privacy Policy and each Project Agreement are the whole agreement between you and EazyConstruct about the App.
27.4 If any clause is found to be invalid, the rest of these terms still apply.
27.5 If EazyConstruct does not enforce a right straight away, it has not waived that right.
27.6 You may not transfer your rights under these terms. EazyConstruct may transfer them to a company that takes over its business, and will tell you if it does.
27.7 Information about EazyConstruct. As the Electronic Communications and Transactions Act requires, EazyConstruct's full name, legal status, registration number, address, contact details and directors' names are published at eazyconstruct.com/legal and in the App under Settings, then Legal.
